How decisions are made

KNH Board members are responsible for the running of the company. They attend main board meetings every
six weeks and also represent the board at its committees which have delegated powers to make decisions.
- Main Board
- In addition to the main Board, members sit on a number of committees, which concentrate on specialist
topics:
Main Board
The Main Board meets on a six-weekly basis. The Main Board has delegated many of its areas of responsibility
and decision making, but retains an overview and authority to make decisions for key strategic issues. Examples are:
- Development of company priorities
- Approval of the strategic business priorities of the company
- Development and approval of the KNH Business Plan and Delivery Plan
- Approval of the annual financial plan and budget of the company
- Ensure that agreed levels of risk are acceptable and monitor that risk management is effective
- Approval of appointment of board members and managers to partner bodies
- Appointment and remuneration of the Chief Executive and Senior Team.
Audit Committee
The audit committee meet at least four times a year.
Duties
- Receipt of all reports of the internal auditor to note actions taken and sign off reports when actions
implemented
- Ensure that KNH has robust and financial decision making processes that enable board members to make
informed decisions and to hold managers to account for decisions that area delegated to them
- To review the external auditors management letter and managements response
- To review the internal audit programme, ensure co-ordination between the internal and external auditors
and to review and monitor the audit function within the company
- Ensure procedures are in place within the company for accounting controls and auditing matters.
Delivery Committee
Deals with the operation and delivery of KNH services and meets at least 6 times a year.
Duties
- Scrutinise performance against targets agreed in the delivery plan
- Scrutinise by exception spend against agreed annual budgets
- Consider and recommendations the capital and revenue investment for an asset management plan that will
deliver the company’s mission
- Agree framework for service delivery.
KNH works to the ethos that where possible reports and other information is made available to customers and
other members of the public via the website.
Exceptions to this rule are where reports contain commercially sensitive information or personal information
about customers or staff.
Strategy Committee
Meets at least 6 times a year and deals with the strategic direction and planning of the company.
Duties
- Consider initiatives and the implication and opportunity within these to deliver the company mission
- Development of long term business strategy
- Market scanning
- Support for new business
- Business Plan and delivery plan strategies
- Consider financial plans and budgets for recommendation to the board for approval.
Appraisal and Personnel
No less than two meetings each year.
Duties
- Issues relating to appraisals and personnel.
